Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the ELLEM Digital Finance Consulting website (ellemdigitalfinance.co.za), our Consulting Services, and the ELLEM Plus platform (together, the "Services"). By using our website, booking a call, or engaging our Services, you agree to these Terms.
2. Website Usage
You may use our website for lawful purposes only, including browsing our Consulting Services and ELLEM Plus pages, booking a call, and submitting enquiries via our Contact page. You may not attempt unauthorised access, introduce malicious code, or impair the website's functioning.
3. Consulting Services
ELLEM provides digital finance transformation consulting across our core pillars, including Digital Finance Transformation, AI & Automation Consulting, ERP Advisory & Implementation, Digital CFO Advisory, and Governance & Internal Controls, among others. The specific scope, deliverables, and timeline for each engagement are set out in a separate proposal or engagement letter agreed with the client.
4. ELLEM Plus Platform
ELLEM Plus is our proprietary Digital CFO platform, available across three tiers:
- Tier 1 — Reconciliation: bank statement automation, reconciliation, and reporting.
- Tier 2 — Funding Ready: structured financial documentation for funder/investor submissions.
- Tier 3 — Enterprise: multi-user access with a full Chart of Accounts and General Ledger.
Access to ELLEM Plus is subject to these Terms and any platform-specific terms provided at subscription/onboarding. Subscribers are responsible for the confidentiality of their login credentials and all activity under their account.
5. Booking a Call and Enquiries
Submitting our Contact form or booking a call does not itself create a binding engagement. A formal engagement begins only once a proposal, engagement letter, or subscription agreement has been agreed in writing.
6. Payments and Invoices
Fees for Consulting Services and ELLEM Plus subscriptions are set out in the applicable proposal, engagement letter, or subscription agreement, and are payable within the timeframe stated on the invoice, unless otherwise agreed in writing.
7. Refund Policy
Refunds are considered on a case-by-case basis and are not guaranteed once work has commenced or a subscription period has begun. Any refund arrangement will be confirmed in writing.
8. Deposits
Certain engagements may require an upfront deposit, specified in the relevant proposal or engagement letter.
9. Client Responsibilities
Clients agree to provide accurate, complete, and timely information required for the engagement or platform onboarding; respond to reasonable requests within agreed timeframes; and confirm they have authority to share any data provided to ELLEM, including via third-party tools referenced in our Privacy Policy.
10. Project Timelines
Timelines for Consulting Services are estimates based on information available at the time and the client's timely cooperation. Delays in receiving information may affect agreed timelines.
11. Ownership and Intellectual Property
All materials, methodologies, and proprietary technology developed by ELLEM — including the ELLEM Plus platform — remain the intellectual property of ELLEM Digital Finance Consulting (Pty) Ltd. Client-specific deliverables become the client's property upon full payment, excluding ELLEM's underlying methodologies, platform, and tools.
12. Confidentiality
ELLEM treats client information as confidential and will not disclose it except: as necessary to deliver Services (including via the third-party tools listed in our Privacy Policy); as required by law; or with written consent.
13. Limitation of Liability
To the maximum extent permitted by South African law, ELLEM's liability for any claim is limited to the fees paid for the specific engagement giving rise to the claim. ELLEM is not liable for indirect or consequential damages. Nothing in these Terms limits liability that cannot lawfully be excluded.
14. Termination
Either party may terminate an engagement per the notice period in the applicable proposal or engagement letter. ELLEM may suspend or terminate ELLEM Plus access for non-payment or breach of these Terms.
15. Dispute Resolution
Disputes will first be addressed through good-faith negotiation, then mediation or arbitration in South Africa if unresolved, before formal legal proceedings.
16. Governing Law
These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.
